Healthcare Triangle, Inc. (HCTI) has completed the acquisition of Niyama Healthcare, Inc. and a 100% equity stake in Ezovion Solutions Private Limited through its subsidiary QuantumNexis. This strategic transaction, valued at $5.7 million, positions HCTI to enhance its digital transformation solutions for healthcare and life sciences sectors, particularly in mental health and hospital information systems across India, Southeast Asia, and Europe. The acquisition includes Niyama's Mental Health SaaS platform with all associated intellectual property, contracts, and key personnel, as well as Ezovion Solutions' integrated Hospital Information System and Electronic Health Records solutions.
The financial structure of the deal involves cash, restricted common stock of HCTI, and potential earn-out payments contingent upon first-year financial performance. David Ayanoglou, CFO of HCTI, emphasized that this acquisition aligns with the company's mission to revolutionize healthcare delivery through intelligent, integrated platforms. During the transition period until August 15, 2025, Niyama will maintain operational continuity, handling revenue collection and payroll processing while full integration with HCTI systems and personnel progresses.
